### End-User License Agreement (EULA)

1. Ownership of Copyright:
All copyrights to ToolManageriQ™ are exclusively owned by CAM Solutions, 4223195 CANADA INC.
2. License Types:
ToolManageriQ™ is offered under two distinct licenses:
a. Standalone License: For individual users not integrated with other platforms.
b. Integrated Plugin License: For users embedding ToolManageriQ™ into GibbsCAM™.
The terms and conditions for each license apply as outlined in this agreement.
3. Non-Free Software:
ToolManageriQ™ is not free or shareware software. A valid license must be purchased to use the software.
4. Disclaimer of Warranties:
ToolManageriQ™ IS DISTRIBUTED “AS IS.” NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, IS PROVIDED. CAM SOLUTIONS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME FULL RESPONSIBILITY FOR ANY RISKS ARISING FROM USE OF THE SOFTWARE. CAM SOLUTIONS AND ITS AGENTS SHALL NOT BE LIABLE FOR DATA LOSS, DAMAGES, LOSS OF PROFITS, OR ANY OTHER LOSS RESULTING FROM THE USE OR MISUSE OF THIS SOFTWARE.
5. Prohibited Actions:
You may not:
– Use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, reverse engineer, or transfer any portion of ToolManageriQ™ except as permitted by this agreement.
– Any unauthorized use shall result in immediate termination of the license and may lead to criminal and/or civil prosecution.
6. Limitation of Liability:
In no event shall CAM SOLUTIONS or its agents and distributors be liable for any indirect, special, incidental, or consequential damages arising out of the use or inability to use the software, including but not limited to loss of data, business, or profits, even if CAM SOLUTIONS has been advised of the possibility of such damages. This limitation of liability also applies to any incompatibility or failures caused by third-party software, including changes to GibbsCAM™.
7. AI Features Disclaimer:
a. Ask Fritz Utility: The Ask Fritz feature in ToolManageriQ™ utilizes OpenAI’s GPT-3 technology without any additional or specialized training. Responses generated should be evaluated by the user for accuracy, as CAM SOLUTIONS has no control over the output’s reliability.
b. AI Feeds and Speeds Calculator: This feature also uses GPT-3 through OpenAI. The input provided is a preformatted question designed to improve the response’s accuracy. Users must review all answers for correctness, as ToolManageriQ™ cannot guarantee the precision of the information provided.
c. Data Privacy: ToolManageriQ™ does not collect or store any data submitted to either the Ask Fritz Utility or the AI Feeds and Speeds Calculator. All interactions are processed solely for generating responses, ensuring user privacy and data security.
d. Purpose of AI Integration: The AI capabilities in ToolManageriQ™ are designed to provide guidance and assist users with tool management. These features are advisory tools intended to supplement, not replace, professional expertise. Users are encouraged to consult with qualified tooling representatives or refer to manufacturer documentation when making decisions based on AI outputs.
e. You are responsible for all your AI input and represent and warrant that You have all rights, licenses, and permissions required to provide it. You are solely responsible for all use of the AI outputs and evaluating the output for accuracy and appropriateness for your use case, including by utilizing human review as appropriate.
8. Termination of License:
CAM SOLUTIONS reserves the right to terminate this license immediately upon violation of the terms of this agreement. Upon termination, you must cease all use of ToolManageriQ™ and uninstall all related files. Unauthorized use may also result in legal action.
9. Installation and Acceptance:
By installing and using ToolManageriQ™, you accept the terms and conditions outlined in this agreement. If you do not agree to these terms, you must immediately uninstall and remove ToolManageriQ™ from your system.
10. License Scope:
The license grants you the right to install and use ToolManageriQ™ on one computer. Additional licenses are required for installation on additional computers.
11. Software Updates:
CAM SOLUTIONS may provide updates to ToolManageriQ™. Users are encouraged to install updates to ensure optimal functionality and security. Continued use of ToolManageriQ™ after an update signifies acceptance of any modified terms or conditions included in the update.
12. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Canada.
13. Privacy Policy:
ToolManageriQ™ collects specific data to ensure proper functionality, licensing compliance, and support. The information captured includes the following:
• GibbsCAM version
• Gibbs ID
• CID (Customer ID)
• “Licensed to” details
• License type
• PC name
• User name
Additionally, ToolManageriQ™ may collect error or diagnostic logs to identify and resolve technical issues and improve the software’s performance.
This data is used solely for the purpose of software validation, functionality, support, and troubleshooting. ToolManageriQ™ does not share any collected data with external organizations or third parties under any circumstances.
ToolManageriQ™ is committed to protecting user privacy and ensuring that all captured information remains secure and is used only for its intended purpose.
